Terms of Service

The agreement between Backed Wisely Inc. and every person who uses Yes Car No Car. Section 14 contains a binding arbitration agreement and a class action waiver.

What the Service is — and what it is not

Yes Car No Car helps you understand a used vehicle before you buy it or while you own it. You give us a vehicle identifier — typically a VIN, scanned or typed — along with details about the vehicle and your situation. We return a plain-language assessment. Every assessment resolves to one of four verdicts:

A free verdict is delivered at the model level — it describes the year, make, model, and engine generally. A paid report is specific to the individual vehicle: it draws on paid third-party vehicle history data, current market research, and the details you supply, and it includes a limited number of follow-up questions about that report.

Our verdicts are opinions

Every verdict and every report is our informed opinion, based on the data available to us at the moment it is produced. It is not a statement of fact about your vehicle, and it is not:

You alone are responsible for your decisions about buying, selling, keeping, insuring, or repairing any vehicle. We recommend an in-person inspection by a qualified mechanic before any purchase. Always verify open recalls directly with the manufacturer or the U.S. National Highway Traffic Safety Administration (NHTSA) using the vehicle’s VIN.

Our independence

We do not accept compensation from dealers, sellers, manufacturers, lenders, advertisers, or any other third party to influence, improve, suppress, or otherwise affect a verdict. No third party pays to influence a verdict. Our assessments are produced for you, not for a seller or any other commercial counterparty.

Eligibility and your account

You must be at least 18 years old and able to enter into a binding contract to use the Service. The Service is offered in the United States; we make no representation that it is appropriate or available elsewhere.

You create an account with your email address. We do not use passwords — we send a one-time code to your email each time you sign in. That means access to your email is access to your account. You are responsible for keeping your email secure and for all activity under your account. One account per person. You may not create an account using someone else’s email address or share your account with others.

Free features and usage limits

Some parts of the Service are free. Free model-level verdicts require a verified email address and are limited to five verdicts per account in any rolling seven-day period. We count this on our servers.

Free features are provided as a convenience. We may change, limit, suspend, or withdraw any free feature at any time without notice and without liability to you. Attempting to evade the free-tier limit — for example, by creating multiple accounts or by automated access — is a violation of these Terms.

Purchases, credits, and pricing

Paid reports are sold through an external web checkout operated by our third-party payment processor. Backed Wisely Inc. is the seller and merchant of record for those purchases; the processor handles the card transaction on our behalf.

Prices are shown in U.S. dollars in the app before you buy. Applicable taxes may be added. Paid reports are sold as one-time purchases or as prepaid report credits. Credits are redeemable only within the Service, have no cash value, are not refundable, are not transferable except through a gifting feature if we offer one, and do not expire while your account remains active.

Founding offer. The first 500 people to join our waitlist may purchase their first report at $14.99. The offer applies to one report, on one account, and must be redeemed within six months of our public launch.

We may change prices at any time. A price change never affects a purchase you have already completed or a credit you have already bought.

When you order a paid report, we purchase third-party vehicle data for that specific VIN at that moment, and the report is generated for you on demand. Your purchase authorizes us to do that. See our Refund Policy, which forms part of these Terms, for when refunds or restored credits are provided, including when a report cannot be produced.

If we ever offer purchases through the Apple App Store or Google Play, those platforms handle billing for those purchases and their own refund policies apply to them.

Your reports

Paid reports are saved to your account and remain available to you for as long as your account is active, so you can return to a vehicle without paying for it again. Each paid report includes a set number of follow-up questions about that report, disclosed at the time of purchase; those questions and their answers stay attached to that vehicle in your account.

A report reflects the data available when it was generated. It is not monitored, refreshed, or updated afterwards, and we have no obligation to tell you if information about a vehicle changes later.

Your content, and what we own

You keep ownership of everything you submit — vehicle details, service records, photographs, questions. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and use that material to operate, secure, and improve the Service, including in de-identified and aggregated form. You confirm you have the right to give us that license for anything you submit.

We own the Service and everything in it that is not yours: the software, the report engine and the prompts and templates behind it, the four-verdict framework, the underlying methods, and the Yes Car No Car and Backed Wisely names, logos, and brand. Reports we generate are licensed to you for your own personal, non-commercial use only.

Third-party data

Vehicle history, title, recall, and market information come in part from third-party providers and public databases. That information may be incomplete, out of date, or wrong, and an absence of records does not mean a vehicle has no history — many events are never reported to any database. We do not control third-party data, we are not responsible for it, and we provide it on an “as available” basis.

Limitation of liability

Indemnification

You agree to indemnify and hold harmless Backed Wisely Inc. and its officers, directors, employees, and contractors from any claim, demand, loss, or expense (including reasonable legal fees) arising from your use or misuse of the Service, your violation of these Terms or of any law, your infringement of anyone’s rights, or any decision you or a third party makes about a vehicle.

Termination and account deletion

You may delete your account at any time from within the app (Settings → Delete my account). Deletion permanently removes your account and personal data as described in our Privacy Policy, including your saved reports. Any unused credits are forfeited on deletion and are not refundable. We will warn you that deletion forfeits any unused credits before you confirm.

We may suspend or terminate your account if you violate these Terms, if we are required to by law, or if we discontinue the Service. If we terminate your account for a violation, unused credits are forfeited. If we discontinue the Service entirely, we will refund unused credits.

Sections 7 through 11 and 14 through 16 survive termination.

Changes to these Terms

We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect and update the effective date above. Continued use of the Service after a change takes effect means you accept it. If you do not accept a change, stop using the Service and delete your account.

Dispute resolution — arbitration and class action waiver

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms.

First, talk to us

Before starting any formal proceeding, you agree to contact us at support@yescarnocar.com with a short description of the dispute and the resolution you want. We will do the same. Most problems are solved this way. If it is not resolved within 60 days, either of us may proceed under this section.

Binding individual arbitration

Except for the carve-outs below, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted by a single arbitrator, in writing or by telephone or video where the rules permit, or in person in Delaware or in the county where you live, at your election. The arbitrator’s decision is final and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this section.

What is not covered

Either of us may bring an individual claim in small claims court if it qualifies. Either of us may seek injunctive relief in court to stop unauthorized use of, or infringement of rights in, the Service or our intellectual property.

Class action and jury waiver

If this class action waiver is found unenforceable as to a particular claim, that claim — and only that claim — will proceed in court, and the rest of this section still applies.

Your right to opt out

You may opt out of this arbitration agreement by emailing support@yescarnocar.com within 30 days of first accepting these Terms, with your name and the email address on your account, and stating that you opt out of arbitration. Opting out does not affect any other part of these Terms, and we will not treat you differently for doing it.

Governing law and venue

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. For any dispute not subject to arbitration, you and we consent to the exclusive jurisdiction of the state and federal courts located in Delaware. Nothing in this section removes any protection you have under the mandatory consumer-protection laws of the state where you live.

General

These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service, and replace any earlier understanding. If any provision is found unenforceable, the rest remains in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries. We may give you notice by email to the address on your account or by a notice in the app. Section headings are for convenience only.
